These Terms of Service ("Terms") govern your access to and use of meridiangmt.com and any Meridian GMT website content, news, product information, forms, and related online features (the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Informational Website

The Site provides information about Meridian GMT, its flight simulation hardware, product roadmap, news, community updates, and ways to contact us. The Site does not currently provide user accounts, checkout, payment processing, order management, preorder processing, or warranty registration. Unless a separate checkout, preorder, sales, warranty, reseller, or support agreement states otherwise, the Site itself does not create a sale, preorder, reservation, partnership, employment relationship, investment offer, or product guarantee.

2. Product Information

Product specifications, compatibility, pricing, availability, release dates, images, and features may be preliminary, estimated, or subject to change. We try to keep information accurate, but errors and delays can happen. Do not rely on Site content as the sole basis for purchasing, reselling, investing, or making other business decisions.

Any product purchase, preorder, beta program, warranty, return, shipping, or repair process will be governed by the terms presented for that specific transaction or program, plus any non-waivable consumer rights that apply in your location.

3. Intellectual Property

The Site and its text, images, logos, designs, graphics, product names, trade dress, downloads, code, and other materials are owned by Meridian GMT or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, informational, non-commercial purposes.

You may not copy, modify, distribute, scrape, frame, mirror, sell, reverse engineer, remove proprietary notices from, or exploit the Site or its materials except as allowed by law or with our written permission.

4. Acceptable Use

You agree not to misuse the Site. Prohibited conduct includes:

• Violating applicable law or third-party rights.
• Attempting to interfere with, overload, probe, scan, or compromise the Site or its security.
• Using automated systems to scrape, harvest, or extract data without permission.
• Submitting unlawful, misleading, infringing, abusive, malicious, or spam content.
• Impersonating another person or misrepresenting your affiliation with Meridian GMT.

5. Communications and Submissions

If you send ideas, feedback, suggestions, product requests, resumes, partnership proposals, media inquiries, or other materials, you represent that you have the right to send them. Unless we sign a separate written agreement, you grant Meridian GMT a worldwide, royalty-free, sublicensable license to use feedback and suggestions for product, service, and business improvement without obligation to compensate you.

Do not send confidential information unless we have agreed in writing to receive it under confidentiality terms.

6. Newsletter and Privacy

Newsletter sign-up is optional and requires affirmative consent. You can unsubscribe from marketing emails at any time. Our collection and use of personal information is described in the Privacy Policy. You can manage optional analytics and marketing storage through Privacy Choices.

7. Third-Party Links and Platforms

The Site may link to external websites, social networks, event pages, press coverage, video platforms, or other third-party services. Those services are not controlled by Meridian GMT and may have their own terms and privacy practices. We are not responsible for third-party content, availability, security, or policies.

8. No Professional Advice

Site content is provided for general informational and promotional purposes. It is not aviation training, safety, legal, financial, investment, engineering certification, or professional advice.

9. Disclaimers

The Site is provided "as is" and "as available". To the fullest extent permitted by law, Meridian GMT disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, accuracy, and availability.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms limits non-waivable statutory consumer rights.

10. Limitation of Liability

To the fullest extent permitted by law, Meridian GMT and its owners, officers, employees, contractors, suppliers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, or other intangible losses arising from or related to the Site.

To the fullest extent permitted by law, our total liability for claims related to the Site will not exceed USD $100 or the amount you paid directly to Meridian GMT for the Site feature giving rise to the claim, whichever is greater. This limitation does not limit liability that cannot legally be limited.

11. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold Meridian GMT harmless from claims, damages, liabilities, costs, and expenses arising from your misuse of the Site, violation of these Terms, violation of law, or infringement of third-party rights.

12. Availability, Changes, and Suspension

We may update, suspend, restrict, or discontinue any part of the Site at any time. We may also update these Terms. The "Last updated" date shows when the latest version was published. Continued use of the Site after changes means you accept the updated Terms.

13. Export and Sanctions Compliance

You may not use the Site in a way that violates export control, sanctions, or trade compliance laws. Product availability may vary by region and may be subject to separate restrictions.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules, unless the laws of your residence require otherwise. If you are a consumer, you may also have mandatory rights under the laws of your country, state, or province that these Terms do not override.

15. Dispute Resolution and Arbitration

Informal resolution. Before filing a claim, you agree to try to resolve the dispute by emailing Support@MeridianGMT.com with a written "Dispute Notice" describing the claim and the relief you seek. We will work in good faith to resolve the dispute within 60 days.

Binding individual arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator. The seat of arbitration is San Diego County, California, conducted in English. The arbitrator may award the same individual remedies a court could, including statutory consumer remedies.

Class-action waiver. To the fullest extent permitted by law, you and Meridian GMT waive any right to participate in a class action, class arbitration, private attorney general action, or other representative proceeding. The arbitrator may not consolidate claims of more than one person, except with all parties' written consent.

30-day opt-out. You may opt out of the arbitration and class-action waiver in this Section 15 by sending written notice to Support@MeridianGMT.com with the subject "Arbitration Opt-Out" within 30 days of first agreeing to these Terms. Opting out will not affect any other provision of these Terms.

Carve-outs. Nothing in this Section 15 prevents either party from (a) seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Site, (b) bringing an individual claim in small-claims court if eligible, or (c) exercising any non-waivable statutory consumer right.

EU/UK consumers. If you are an EU or UK consumer, the arbitration and class-action waiver above do not deprive you of mandatory protections, including the right to bring a claim in the courts of your country of residence.

16. DMCA / Copyright Complaints

If you believe content on the Site infringes your copyright, send a written notice that includes (a) your physical or electronic signature, (b) identification of the copyrighted work, (c) identification of the allegedly infringing material with enough detail for us to find it (URL), (d) your contact information, (e) a statement that you have a good-faith belief that the use is not authorized, and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the copyright owner's behalf.

Send DMCA notices to: Support@MeridianGMT.com (subject line: DMCA Notice). Counter-notices may be sent to the same address with the subject DMCA Counter-Notice.

We may remove allegedly infringing material and terminate repeat infringers in appropriate circumstances.

17. Accessibility

We are committed to making the Site accessible. If you encounter a barrier or need information in a different format, contact Support@MeridianGMT.com.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be interpreted to the maximum extent permitted by law. If the class-action waiver in Section 15 is found unenforceable in a particular dispute, then that dispute must proceed in court rather than in arbitration, but the rest of Section 15 remains in effect.
